Please read these Terms of Service ("Terms") carefully before using Query Streams services, including our add-ons for Google Sheets and Microsoft Excel, our website at http://querystreams.com, and any other services offered by Query Streams (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Service Description

Query Streams provides data integration services through add-ons for Google Sheets and Microsoft Excel, allowing users to send queries to databases and retrieve data directly into their spreadsheets. Our Service includes:

• Add-ons for Google Sheets and Microsoft Excel
• Windows server agent software for installation on your network
• Middleware server services to facilitate data transfers
• API services for developers (where applicable)

2. Account Registration and Subscription

To use our Service, you must create an account and subscribe to one of our service tiers. You are responsible for maintaining the security of your account and password. Query Streams cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

Our Service is offered through subscription plans with different data usage allowances. You agree to pay the subscription fees for your selected plan. We reserve the right to change our subscription fees upon reasonable notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

3. Data Usage and Limitations

Each subscription tier includes specific data transfer limitations. Your data usage is measured based on the volume of data transferred through our middleware server. If you exceed your plan's data allowance, we may:

• Apply additional charges at our current overage rates
• Temporarily reduce service speeds or functionality
• Suspend service until the next billing cycle

We will make reasonable efforts to notify you when you approach your data usage limits.

4. Windows Server Agent

Our Service requires the installation of our Windows server agent software on your network. By installing this software, you agree to:

• Use the software only in connection with our Service
• Not reverse engineer, decompile, or attempt to discover the source code
• Not distribute, sublicense, or transfer the software to third parties
• Maintain appropriate security measures to protect the software and your network

You are responsible for ensuring that your use of our software complies with your internal policies and any applicable laws and regulations.

5. Data Profiles and Realms

Our Service allows you to create "Data Profiles" that connect to your database systems and organize them into "Data Realms." You are solely responsible for:

• Ensuring you have proper rights and permissions to access any databases you connect to our Service
• Managing user access to Data Profiles and Realms
• The content and security of queries sent through our Service
• Compliance with any applicable laws regarding the data being processed

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Query Streams and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Query Streams.

You retain all rights to your data processed through our Service. By using our Service, you grant us a limited license to transmit, process, and display your data solely as necessary to provide the Service to you.

7. User Content and Conduct

You agree not to use our Service to:

• Violate any laws or regulations
• Infringe on the rights of others
• Transmit any malicious code, malware, or harmful data
• Attempt to gain unauthorized access to our systems or other users' data
• Conduct any database operations that could damage, disable, or impair our services

We reserve the right to terminate or suspend your account for violations of these Terms or for any other reason at our sole discretion.

8. Shared Queries

Our Service allows users to create and share queries with other users. When you share a query:

• You remain responsible for the content and effects of the query
• You grant other authorized users the right to use and modify the query parameters
• You should ensure the query does not expose sensitive data to unauthorized users

Query Streams is not responsible for any consequences of shared queries or changes made to query parameters by authorized users.

9. Third-Party Services

Our Service integrates with third-party services and applications, including Google Sheets and Microsoft Excel. Your use of these third-party services is subject to their respective terms of service and privacy policies. Query Streams is not responsible for the practices of these third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Query Streams does not warrant that the Service will be uninterrupted or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

11. Limitation of Liability

IN NO EVENT SHALL QUERY STREAMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
• ANY CONTENT OBTAINED FROM THE SERVICE; AND
• UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING OUR SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Query Streams, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
• Any claim that content you submitted or shared through the Service caused damage to a third party.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on our website or through the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
